Terms of Service

These Terms of Service (Terms) govern your access to and use of our conversation and voice AI service (the Service). By creating an account or using the Service, you agree to be bound by these Terms.
1. Account Registration and Eligibility
Account Creation:
You must provide accurate and complete information when registering and keep your details up to date. You are responsible for keeping your login credentials secure.
Eligibility:
You must be at least 18 years old. If registering on behalf of an organisation, you confirm you are authorised to bind the organisation.
Consent for Communications:
If you use the Service to contact third parties, you are responsible for ensuring you have the necessary consents and that all communications comply with applicable laws.
2. Description of the Service
The Service provides an AI-powered agent capable of making and receiving calls, sending messages, generating transcripts, creating summaries and performing related automated tasks.
Features may evolve over time as we improve the platform.
Availability:
We aim to provide the Service 24 hours a day but do not guarantee uninterrupted availability.
AI Limitations:
Speech recognition, intent detection or responses may occasionally be inaccurate. You should verify important information independently.
3. Deployment Models
To meet different privacy, security and compliance needs, we offer two distinct deployment models. The selected model is documented during onboarding and governs how data is stored and processed.
3.1 Cloud-Based Solution (Standard Deployment)
- Data may be stored or processed in Australia or the United States depending on platform requirements.
- Any overseas processing is subject to strict safeguards consistent with Australian Privacy Principle 8.
- Clients may request deletion of all stored data at any time.
- Clients may request removal of personally identifiable information.
- Retention periods can be customised.
- Limited authorised personnel may access data for support and troubleshooting.
This model offers rapid deployment, scalability and advanced AI features that rely on controlled offshore processing.
3.2 Private Cloud Solution (Australian Sovereign Deployment)
- No data is stored outside Australia.
- No data is processed outside Australia.
- All AI inference, storage and processing occur exclusively within Australian infrastructure.
- No offshore access or replication is permitted.
This model is suitable for regulated sectors such as health, finance, insurance, aged care, NDIS, property management and government.
3.3 Client Choice
Clients select the deployment model that suits their compliance needs. Migration between models can be arranged with a managed transition plan.
4. Fees and Payments
By using the Service, you agree to pay all applicable subscription, usage or service fees.
- Charges are billed in Australian dollars and exclude GST unless stated otherwise.
- Recurring subscriptions renew automatically unless cancelled.
- Late or failed payments may result in suspension of Service until resolved.
- Refunds are provided only where required by Australian Consumer Law or at our discretion.
5. Acceptable Use
You must not use the Service to:
- Violate any laws or regulations.
- Send unauthorised marketing messages or spam.
- Record calls without required consent.
- Interfere with or disrupt the Service.
- Attempt unauthorised access to systems.
- Upload malicious software or harmful content.
- Use the Service for emergency communications.
We may suspend or terminate access for misuse.
6. Intellectual Property
We retain ownership of the Service, software, AI models, documentation and related intellectual property.
You retain ownership of your data and grant us permission to process it solely to provide the Service in accordance with the chosen deployment model and our Privacy Policy.
Feedback you provide may be used to improve the Service without compensation.
7. Privacy and Data Protection
Our Privacy Policy forms part of these Terms. By using the Service, you acknowledge and agree to the handling of personal information as described in that Policy, including your chosen deployment model.
If you provide personal information of third parties, you confirm you have necessary authority and consents.
8. Warranties and Consumer Guarantees
The Service is provided on an as-is and as-available basis.
To the extent permitted by law, we exclude all warranties except those required by Australian Consumer Law. Where non-excludable guarantees apply, our liability is limited to re-supplying the Service or issuing a refund as permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental or consequential losses including loss of profits or data.
- Our total liability for all claims is capped at the amount paid by you in the previous 12 months, or AUD 100 if no fees were paid.
Nothing limits liability where it is unlawful to do so.
10. Indemnity
You agree to indemnify us against claims arising from:
- Your misuse of the Service
- Your breach of these Terms
- Your breach of laws relating to communications or privacy
- Disputes with people contacted through the Service
This obligation continues after termination.
11. Suspension and Termination
We may suspend or terminate your access if:
- You breach these Terms
- You fail to pay fees when due
- Required by law
- We discontinue the Service
You may terminate at any time by cancelling your account.
Upon termination, your access ceases and data is handled as described in the Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified at least 14 days before taking effect unless urgent. Continued use of the Service means acceptance of updated Terms.
13. Governing Law
These Terms are governed by the laws of New South Wales and the Commonwealth of Australia.
